These Terms of Use ("Terms") govern your access to and use of the website vacurim.com (the "Site") and all associated tools, products, and services provided by Vacurim Enterprise Co. ("Vacurim," "we," "us," or "our"). By accessing or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms. By placing an order or making a purchase, you explicitly agree to all provisions set forth in these Terms, including but not limited to the personal use limitation, limitation of liability, indemnification, and disclaimer of warranties. If you do not agree, you must not use the Site or any of our Services.

"Services" means all tools, products, and features offered through the Site, including but not limited to the Manuscript Digitizer, Vacurim Codex Tools, TradeLink, Valid IP, Proxy services, Network Security Testing, Infrastructure consulting, and any other current or future offerings.
"Digital Product" means any downloadable file, document, tool output, or licence key delivered to you through the Site.
"User" or "you" means any individual or entity that accesses or uses the Site or Services.

2. Eligibility

By using the Site, you represent and warrant that:

You are at least 18 years of age or have the legal capacity to enter into binding agreements under the laws of your jurisdiction.
The information you provide is true, accurate, and complete.
Your use of the Site and Services complies with all applicable local, national, and international laws and regulations.

3. Description of Services

Vacurim provides digital tools and infrastructure services spanning multiple areas, including but not limited to: research and digitisation tools (Codex Tools, Manuscript Digitizer), network and infrastructure services (Valid IP, Proxy, Infrastructure Security, TradeLink), and security testing and consulting. The specific features, pricing, and availability of each Service are described on the relevant page of the Site. We reserve the right to modify, suspend, or discontinue any Service at any time, with or without notice, subject to our obligations under applicable law.

4. User Responsibilities

You are solely responsible for your use of the Site and Services. You agree to:

Use the Site and Services only for lawful purposes and in accordance with these Terms.
Not attempt to gain unauthorised access to any part of the Site, its servers, or any connected systems.
Not use the Site or Services in any way that could damage, disable, or impair the Site or interfere with any other party's use.
Not introduce malicious code, viruses, or any harmful material into the Site.

You will not redistribute, resell, sublicense, or otherwise transfer any Digital Product or output to any third party without prior written consent from Vacurim.
You will not use any tool, output, or Digital Product in connection with any illegal activity or in any manner that could infringe upon the rights of others.
Any output generated by our tools is your responsibility once downloaded. You are solely accountable for how you use, store, and distribute that output.
Vacurim does not monitor, control, or endorse the use of downloaded content after delivery. All liability arising from the use, redistribution, or misapplication of any output rests entirely with you.

6. Intellectual Property

All content on the Site, including but not limited to text, graphics, logos, icons, images, audio clips, software, and the overall design and layout, is the property of Vacurim Enterprise Co. or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content on the Site without our prior written permission.

The Site name "Vacurim" and the Vacurim logo are registered trademarks of Vacurim Enterprise Co. Any unauthorised use of these marks is prohibited.

7. Payment Terms

7.1 Pricing

All prices displayed on the Site are in Euros (EUR) unless stated otherwise. Prices are subject to change at our discretion. The price applicable to your purchase is the price displayed on the Site at the time you submit your order.

7.2 Payment Processing

We accept payment through various methods including online payment platforms and cryptocurrency. All payment processing is handled by authorised third-party processors. Vacurim does not store your full payment card details or wallet credentials. By completing a purchase, you agree to the terms and conditions of the applicable payment processor. All payment data is handled in compliance with the Payment Card Industry Data Security Standard (PCI DSS) where applicable.

7.3 Discount Codes

Discount codes, when available, are subject to the terms specified at the time of issuance. Discount codes may have expiration dates, usage limits, or minimum purchase requirements. We reserve the right to revoke any discount code at any time.

8. Digital Products

8.1 Delivery

Digital Products are delivered by email or through a download link on the Site. Delivery typically occurs within minutes of successful payment. If you do not receive your product within 24 hours, please contact us through the contact page.

8.2 Download Links

Download links are time-limited and may only be used a limited number of times as specified at the time of delivery. Once a download link has expired or been fully used, we may not be able to provide a replacement without verifying your original purchase.

8.3 Refund Policy

Due to the digital nature of our products, refunds are generally not available once a Digital Product has been downloaded or a Service has been rendered. However, we will consider refund requests on a case-by-case basis in the following circumstances:

The product was defective or significantly different from the description provided on the Site.
You were charged incorrectly due to a technical error.
You were unable to access or use the product due to a verified fault on our end.

Refund requests must be submitted within 14 days of purchase. To request a refund, contact us through the contact page with your order details. This refund policy does not affect your statutory rights under the Consumer Rights Act 2015 (UK), the Consumer Rights Directive (EU), or other applicable consumer protection legislation.

9. Manuscript Digitizer Terms

The Manuscript Digitizer tool processes publicly available digitised manuscripts from online libraries and archives. By using this tool, you acknowledge and agree that:

The source images are provided by third-party institutions under their own terms of access and use.
It is your responsibility to verify that your use of the source material complies with the terms and conditions of the originating institution.
Vacurim acts as a processing tool and does not claim ownership of or responsibility for the source manuscripts, their content, or any intellectual property rights associated with them.
The output PDF is generated based on the source images and recognition algorithms. Accuracy of text recognition may vary depending on the quality and language of the source material.

10. Disclaimer of Warranties

THE SITE AND ALL SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

We do not warrant that:

The Site will be uninterrupted, error-free, or secure.
The results obtained from any tool or Service will be accurate, complete, or reliable.
The Site will meet your specific requirements or expectations.
Any defects or errors in the Site or Services will be corrected.

You acknowledge and agree that you use the Site and Services at your own risk. All implied warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement, are hereby disclaimed to the maximum extent permitted by law.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, VACURIM ENTERPRISE CO., ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE OR SERVICES.

THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY UNDER WHICH SUCH DAMAGES ARE SOUGHT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF VACURIM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SITE OR SERVICES EXCEED THE AMOUNT YOU PAID TO VACURIM IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Nothing in these Terms shall exclude or limit liability for death or personal injury caused by negligence, fraud, or any other matter for which exclusion or limitation of liability is not permitted under applicable law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Vacurim Enterprise Co. and its officers, directors, employees, agents, and affiliates from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to:

Your use of the Site or Services in violation of these Terms or applicable law.
Your use, redistribution, or misapplication of any Digital Product or output obtained through the Site.
Any content you submit, transmit, or make available through the Site.
Your violation of any third party's intellectual property or other rights.

13. Third-Party Links and Services

The Site may contain links to third-party websites or services that are not owned or controlled by Vacurim. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party sites or services. Your interactions with third parties are governed solely by their own terms and policies. We recommend that you review the terms and privacy policies of any third-party sites you visit.

14. Termination

We reserve the right to suspend or terminate your access to the Site and Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Site and Services ceases immediately. Provisions that by their nature should survive termination, including intellectual property, limitation of liability, indemnification, and dispute resolution, shall remain in effect.

15. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with applicable law, including the laws of the jurisdiction in which Vacurim Enterprise Co. is registered at the time a dispute arises. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in that jurisdiction.

For users based in the European Union, these Terms are governed by EU consumer protection law where applicable. For users based in the United Kingdom, the UK Consumer Rights Act 2015 applies. For users based in the United States, applicable federal and state consumer protection laws apply.

16. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms, together with the Privacy Policy and any applicable product-specific terms, constitute the entire agreement between you and Vacurim regarding the use of the Site and Services, and supersede any prior or contemporaneous agreements, representations, or understandings.
